Milan, 19th May 2026 – RYZE (formerly YARD REAAS), a leader in real estate services, announces the closing of the acquisition of 100% of TCS | Technical & Construction Solutions, an Italian company based in Rome, specialising in technical and urban planning consulting and specialist support for complex property development, enhancement and regeneration projects.

The transaction, carried out under the guidance of majority shareholder AnaCap, forms part of the Group’s broader external growth strategy and represents a further step in executing the buy-and-build strategy launched in Italy and Europe, aimed at building an integrated platform of high value-added real estate services, characterised by strong specialisation, scalability and ability to generate industrial and commercial synergies across the entire value chain.

With this transaction, RYZE completes its sixth acquisition since 2024, in line with the growth roadmap defined by Partner Members Emanuele Bellani, Paolo Datti and Paolo Perrella. At the same time, the Group continues to evaluate opportunities for further geographical expansion, with a particular focus on Spain and Portugal, in line with the strategy of progressively building a pan-European real estate services platform.

Following the acquisition, TCS will join the Investment division led by Claudia Soravia and will contribute to the creation of the new “Town Planning” Business Unit, which will run alongside the business lines already operating within this division: Technical Due Diligence (Corporate & Multi-Asset – Environmental), Environment & Safety, Engineering, and ESG & Sustainability.

The new Business Unit will be led by Daniele Tiburzi and will enable the Group to strengthen its presence in the upstream phases of property development, with a specific focus on urban planning consultancy, the management of complex authorisation processes and technical support for large-scale urban regeneration projects.

The integration also enables RYZE to expand its scope of activity to high-growth and complex asset classes – including residential, student housing, hospitality and data centres – segments characterised by strong investment dynamics, growing technical specialisation and greater sophistication in authorisation and development processes.

In this context, strengthening our presence in Rome takes on strategic importance, given the capital’s growing appeal to domestic and international investors and the significant opportunities linked to urban regeneration and territorial transformation.

With this transaction, we are further strengthening the Group’s full-circle services model. TCS effectively becomes the fifth operational arm of RYZE’s Investment division – Town Planning – completing the range of services dedicated to urban and regional planning and development, as well as coordinating urban, infrastructure, and real estate projects through an integrated and sustainable approach. All this while guaranteeing our clients a single strategic and operational management structure: many of TCS’s long-standing clients are in fact already clients of the Group for other services, confirming the complementarity of skills and the expected operational synergies,” stated Emanuele Bellani, Partner & Group CEO of RYZE.

The acquisition of TCS represents a new milestone in the execution of the Group’s buy-and-build strategy and confirms RYZE’s strong focus on M&A as a lever for accelerating growth and consolidating the real estate services market in Italy and Europe. We are continuing a highly selective consolidation process, aimed at integrating highly specialised companies with strong entrepreneurial qualities and significant growth potential, to further scale the platform, expanding our geographical presence and increasing cross-selling capabilities whilst strengthening our presence in more complex segments,” commented Paolo Datti, Partner & Deputy Chairman – Head of M&A at RYZE.

Daniele Tiburzi, CEO & Co-founder of TCS, commented: Joining an international and well-structured group such as RYZE represents a great opportunity for us to leverage our expertise, as well as a multiplier of opportunities within a multidisciplinary context. With our Business Unit dedicated to ‘Town Planning’, we will make a distinctive contribution to urban development and transformation processes, maintaining an integrated vision focused on the management of complex projects”.

RYZE was advised by the M&A team at TARGET Law, comprising Fabio Coppola, Taila Centrella and Ilaria Taddeo for the legal aspects, and by the team at BDO Advisory Services S.r.l., comprising Chiara Bascialla, Francesco D’Amico and Laura Urso for Financial Due Diligence, and Pietro Gracis, Gabriele Ciarlo and Veronica Ceriani for Tax Due Diligence. TCS was advised on the legal aspects by Prof. Gianluca Perone of the law firm MATERIA.
